- Reverse engineer, decompile, or disassemble the software.
- Remove or alter any proprietary notices or labels on the software.
- Transfer, sublicense, lease, rent, or otherwise distribute the software to any third party.
Updates: We may provide updates to the software to improve performance, enhance features, or address security issues. You agree to implement such updates promptly.
Payment and Fees
Payment Terms: Our software solutions are offered on a one-time payment basis. Payment is due at the time of purchase. All fees are non-refundable unless otherwise stated.
Taxes: You are responsible for all applicable taxes, and we will charge taxes as required by law.
Intellectual Property
Ownership: ONEDESK retains all rights, title, and interest in and to the Services, including all related intellectual property rights. Your use of the Services does not grant you any ownership rights.
Trademarks: The ONEDESK name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of ONEDESK or its affiliates. You may not use such marks without our prior written permission.
Termination
Termination by You: You may terminate your account at any time by contacting us at support@onedesk.com. Upon termination, you must cease all use of the Services and delete any copies of the software in your possession.
Termination by Us: We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Effect of Termination: Upon termination, all rights granted to you under these Terms will cease, and you must discontinue all use of the Services.
Disclaimer of Warranties
The Services are provided on an “as-is” and “as-available” basis. ONEDESK makes no warranties, express or implied, regarding the Services, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.
Limitation of Liability
To the fullest extent permitted by law, ONEDESK will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Services; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Services by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services; and/or (vi) the defamatory, offensive, or illegal conduct of any third party.
Indemnification
You agree to indemnify, defend, and hold harmless ONEDESK, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.
Governing Law and Dispute Resolution
Governing Law: These Terms are governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law principles.
Dispute Resolution: Any dispute arising out of or in connection with these Terms or the Services shall be resolved through negotiation in good faith. If the dispute cannot be resolved through negotiation, it shall be subject to the exclusive jurisdiction of the courts in Karachi, Pakistan.
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the “Last Updated” date at the top of these Terms. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
